Terms & Conditions
The terms covering use of this website, and the development, marketing and support services we provide.
Last updated: 14 September 2026
1. These terms
These Terms & Conditions govern your use of this website and, together with any signed proposal, statement of work or order form, form the agreement between you and Cesto Technologies ("we", "us", "our") for the supply of services.
Where a signed proposal or statement of work conflicts with these terms, the signed document takes precedence for that engagement.
2. Use of this website
- The content on this site is provided for general information and does not constitute professional advice.
- You may not use this site in a way that is unlawful, disrupts its operation, attempts unauthorised access, or scrapes it at a rate that degrades service for others.
- We may change, suspend or withdraw any part of the site without notice.
- Links to third-party sites are provided for convenience. We are not responsible for their content or practices.
3. Services and proposals
Services are defined in a written proposal or statement of work describing the scope, deliverables, timeline, assumptions and fees. Proposals are valid for 30 days from issue unless stated otherwise, and an engagement begins only once the proposal is accepted in writing.
Estimates of timelines are given in good faith and depend on the assumptions set out in the proposal — most commonly the timely supply of content, access and feedback from you.
4. Fees and payment
- Projects — typically invoiced as a deposit on acceptance, with the balance at agreed milestones or on completion.
- Retainers — invoiced monthly in advance. Unused hours do not roll over unless the proposal says so.
- Diagnostics — invoiced as a fixed fee on acceptance.
- Payment terms — 14 days from the invoice date unless agreed otherwise in writing.
- Third-party costs — advertising spend, licences, subscriptions and stock media are your responsibility and are not included in our fees unless expressly stated.
- Taxes — fees are exclusive of VAT, sales tax and equivalent charges, which are added where applicable.
- Late payment — we may charge interest at the statutory rate and suspend work on overdue accounts after written notice.
5. Your responsibilities
- Provide accurate information, content, brand assets and access to relevant accounts and systems.
- Nominate a single point of contact authorised to give approvals and make decisions.
- Respond to requests for feedback and approval within the timescales in the proposal.
- Ensure you hold the rights to any material you supply to us.
- Maintain your own backups of live systems we are not contracted to back up.
Where delays are caused by outstanding information, approvals or access, timelines move accordingly and we may re-schedule resources.
6. Changes to scope
Requests outside the agreed scope are quoted in writing before work begins. No additional work is started, and no additional fee is incurred, without your written approval. Where a change materially affects the timeline, a revised schedule is issued at the same time.
7. Delivery and acceptance
Deliverables are provided for review at the points set out in the proposal. Unless stated otherwise, you have 7 days from delivery to raise issues in writing; after that, the deliverable is treated as accepted. Defects reported within the warranty period in section 11 are corrected at no charge.
8. Intellectual property
- Your material — content, trademarks and data you supply remain yours.
- Deliverables — on receipt of full payment, ownership of the final deliverables produced specifically for you transfers to you.
- Our background IP — tools, frameworks, libraries, methods and know-how developed by us and not specific to your project remain ours. We grant you a perpetual, non-exclusive licence to use them as embedded in your deliverables.
- Third-party components — open-source and licensed components remain subject to their own licences, which are disclosed on request.
- Portfolio — we may reference the engagement and show non-confidential work in our portfolio unless you ask us in writing not to.
9. Third-party platforms and services
Our work frequently depends on platforms we do not control — search engines, advertising networks, hosting providers, CMS platforms, payment gateways and similar. We are not responsible for changes to their policies, algorithms, pricing, availability or APIs, or for the consequences of those changes. Where such a change materially affects agreed work, we will tell you promptly and propose an approach.
10. Performance and results
We do not guarantee specific rankings, traffic volumes, conversion rates, revenue or return on advertising spend. Results depend on factors outside our control, including competitor activity, market conditions, platform behaviour and your own pricing, sales process and capacity.
What we do commit to is the scope of work, the agreed reporting, and an honest account of performance against the metric set at the outset.
11. Warranties
We warrant that services will be performed with reasonable skill and care by suitably qualified people. For development work, we warrant that deliverables will materially conform to the agreed specification for 30 days following acceptance, and we will correct conforming defects reported in that period at no charge.
This warranty does not cover issues arising from:
- Modifications made by you or a third party after handover.
- Use outside the documented purpose or supported environments.
- Changes to third-party platforms, APIs or dependencies.
- Content, data or materials supplied by you.
12. Liability
Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be excluded.
Subject to that, we are not liable for indirect or consequential loss, loss of profit, revenue, goodwill, anticipated savings or data. Our total aggregate liability arising out of an engagement is limited to the total fees paid by you to us under that engagement in the 12 months preceding the event giving rise to the claim.
13. Confidentiality
Each party will keep the other's confidential information secure and use it only for the purposes of the engagement. This obligation continues for three years after the engagement ends and does not apply to information that is public through no breach, independently developed, or required to be disclosed by law. We are happy to sign a separate non-disclosure agreement on request.
14. Term and termination
- Retainers — an initial term of three months, then rolling with 30 days' written notice from either side.
- Projects — run until the deliverables are accepted. If you terminate early, fees are payable for work completed and for non-cancellable commitments made on your behalf.
- For cause — either party may terminate immediately on written notice for material breach not remedied within 14 days, or on insolvency.
- On termination — we will provide reasonable handover of work paid for, transfer account access, and delete or return confidential material on request.
15. General
- Subcontracting — we may use trusted subcontractors and remain responsible for their work.
- Non-solicitation — neither party will solicit the other's personnel during the engagement and for six months afterwards, except through a public advertisement.
- Force majeure — neither party is liable for delay caused by events beyond reasonable control.
- Entire agreement — the signed proposal and these terms are the whole agreement and supersede earlier discussions.
- Severability — if any provision is unenforceable, the remainder continues in force.
- Governing law — these terms are governed by the laws of the jurisdiction stated in your proposal, whose courts have exclusive jurisdiction.
16. Contact
Questions about these terms should go to contact@cestotechnologies.com, or by post to the registered address shown on our invoices and correspondence.
A note on this document
These terms are a working template prepared for Cesto Technologies. Before publication they should be reviewed by a qualified adviser and completed with your registered company name and number, trading address, governing jurisdiction, and any payment or warranty periods you wish to change.
